Welcome to CQ Studios. These Terms & Conditions ("Terms") govern your access to and use of our website and services (the "Services"). By using our website or submitting any form, you agree to these Terms. If you do not agree, please do not use the Services.

1. Who We Are

CQ Studios ("CQ Studios," "we," "us," or "our") is a creator marketing solution that connects brands and marketing agencies with content creators from our community.

2. Our Role — We Are Not the Middleman

For Gifted Opportunities and Paid Listings, CQ Studios provides a curated posting space and access to our creator community only. We do not:

• employ creators or act as their agent;

• select or assign creators on a brand's or agency's behalf;

• guarantee any results, responses, bookings, or performance;

• collect, hold, or process payments exchanged between brands/agencies and creators; or

• manage, supervise, or take responsibility for the work, communication, shipping, delivery, or final deliverables exchanged directly between parties.

Brands, agencies, and creators are solely responsible for their own communications, agreements, product shipping, delivery, timelines, usage terms, invoicing, and payment.

The only exception is CQ Studios Managed Campaigns, a separate premium service governed by its own written agreement, in which we take a more hands-on, coordinating role as described in that agreement.

3. Eligibility & Accounts

You must be at least 18 years old and able to form a binding contract to use the Services. You agree to provide accurate, current, and complete information and to keep it up to date.

4. Gifted Opportunities

Gifted Opportunities are product-exchange collaborations offered by approved businesses. Standard gifted terms include organic usage plus up to 30 days of paid ad usage, one simple deliverable unless otherwise agreed, and one revision for factual accuracy. Gifted collaborations do not include perpetuity or unlimited usage, whitelisting, broadcast/OTT/TV usage, category exclusivity, or raw footage ownership unless separately negotiated and agreed in writing between the brand and the creator. CQ Studios does not mediate or handle payment for gifted collaborations.

5. Paid Listings

Paid Listings allow brands and agencies to post paid opportunities to our creator community on a subscription basis. We review listings before they are posted, but we do not verify every detail, guarantee outcomes, or participate in the resulting arrangement. Creators contact, negotiate with, and invoice the brand or agency directly. Subscription pricing and tiers are as displayed on our website and may change with notice.

6. CQ Studios Managed Campaigns

Managed Campaigns are our premium, done-for-you service. They are governed by a separate client agreement and, where applicable, contractor agreements with participating creators. Those agreements control in the event of any conflict with these Terms.

7. Brand & Agency Responsibilities

You agree to:

• provide accurate, truthful information in all listings and inquiries;

• communicate respectfully and professionally with creators;

• honor all stated compensation, gifted terms, and usage rights;

• not request usage beyond what is stated in a listing without separately negotiating directly with the creator; and

• not misuse the Services, our community, or any creator's content.

We may remove, suspend, or refuse service to any brand or agency that provides false information, behaves abusively, repeatedly receives negative feedback, or violates these Terms or our community standards.

8. Creator Responsibilities

Creators accessing opportunities agree to confirm scope, usage, timeline, and compensation in writing before beginning work; to communicate professionally and deliver as agreed; to invoice and collect payment directly; to handle their own taxes; and to report suspicious or disrespectful conduct to us.

9. Payments & Subscriptions

Subscription fees (such as Paid Listings access) are billed through our third-party payment processor. Fees are stated on our website. Unless otherwise required by law or stated at purchase, subscription fees are non-refundable for the current billing period. You may cancel a subscription at any time, effective at the end of the current billing period. CQ Studios does not process or hold payments exchanged directly between brands/agencies and creators.

10. No Guarantees

CQ Studios does not guarantee any specific results, income, creator or brand responses, bookings, or outcomes. Access to opportunities and our community is a benefit of the Services, not a promise of work or results.

11. Intellectual Property

All content on this website — including text, graphics, logos, and the CQ Studios name and marks — is owned by us or our licensors and may not be used without permission. Content created by a creator for a brand or agency is governed by the agreement between those parties.

12. Third-Party Services & Links

Our Services rely on and link to third-party tools (for example, our community platform, form provider, payment processor, and scheduling tools). We are not responsible for the content, policies, or practices of third parties.

13. Disclaimers

The Services are provided "as is" and "as available" without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement, to the fullest extent permitted by law.

14. Limitation of Liability

To the fullest extent permitted by law, CQ Studios and its owners, members, and affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss arising from interactions or agreements between brands, agencies, and creators, or from your use of the Services. Our total liability for any claim will not exceed the amount you paid us, if any, in the 12 months before the claim.

15. Indemnification

You agree to indemnify and hold harmless CQ Studios from any claims, damages, or expenses arising out of your use of the Services, your listings or content, or your dealings with other users.

16. Changes to These Terms

We may update these Terms from time to time. The "Effective Date" above reflects the latest version. Continued use of the Services after changes means you accept the updated Terms.

17. Governing Law

These Terms are governed by the laws of the State of Pennsylvania, without regard to its conflict-of-laws rules.
